Frontier Financial Corporation (“FFC”, “Frontier”, “the Corporation”, “we”, “our” or “us”) is a Washington corporation which was incorporated in 1983 and is registered as a financial holding company under the Bank Holding Company Act of 1956. FFC has two subsidiaries: the Bank, which is engaged in a general banking business and in businesses related to banking; and FFP, Inc., a nonbank corporation which leases property to the Bank. The Bank Frontier Bank is a Washington state chartered commercial bank with headquarters located in Everett, Snohomish County, Washington. The Bank was founded in September 1978, by Robert J. Dickson and local business persons and is an “insured bank” as defined in the Federal Deposit Insurance Act. We engage in general banking business in Washington and Oregon, including the acceptance of demand, time and savings deposits and the making of loans.
